Banro Announces $18,375,000 Private Placement

TORONTO, July 26, 2005 - Banro Corporation (“Banro” or the “Company”) (AMEX - “BAA”; TSX Venture Exchange - “BAA”) is pleased to announce that it has entered into an agreement for the sale of 3,500,000 common shares at a price of $5.25 per share for gross proceeds of $18,375,000. The placement is being made solely to an investment fund managed by Capital Research and Management Company and to institutional accounts managed by affiliates of Capital Group International, Inc. RBC Capital Markets is acting as agent in the transaction.
Simon Village, Chairman of Banro, commented “This investment, which secures the necessary funds for our work program through 2006, is a vote of confidence in the DRC and in Banro’s assets and management team. The Company’s stated objective is to delineate at least 6 million ounces of Measured and Indicated Resources by year-end 2006 and to conduct scoping studies and pit optimizations on our key projects.”
Preliminary discussions with respect to the placement were initiated last week and continued over the weekend. Banro reserved the issue price by way of notice to the TSX Venture Exchange on Friday afternoon. The placement is subject to regulatory acceptance and other customary conditions and is expected to close on August 3, 2005.
