Banro Closes Cdn$50,240,000 Financing

Toronto, Canada - May 4, 2006 - Banro Corporation (“Banro” or the “Company”) (AMEX - “BAA”; TSX - “BAA”) is pleased to announce that it closed today its previously announced financing (the “Financing”). The Company has issued 3,925,000 common shares at a price of Cdn$12.80 per share for total gross proceeds of Cdn$50,240,000. The underwriters who conducted the Financing were RBC Capital Markets as lead manager, Raymond James Ltd. and MGI Securities Inc. The Company has granted to the underwriters an option, exercisable for a period of 30 days after the date of closing, to purchase up to 451,000 in additional common shares of the Company at a price of Cdn$12.80 per share.

The Company intends to use the net proceeds of the Financing to finance the continued exploration and development of the Company’s wholly-owned Twangiza, Lugushwa, Namoya and Kamituga gold projects in the Democratic Republic of the Congo (the “DRC”), and for general corporate purposes.
